Terms Of Use

Katz Wallet is a non-custodial, self-hosted cryptocurrency wallet focused on the XRP Ledger ("XRPL"). The App enables you to:

• Generate or import XRPL-compatible wallets
• Store, encrypt, and manage your own private keys locally on your device
• View balances, NFTs, trust lines, AMM pools, and other XRPL data
• Send and receive XRP and XRPL-based tokens
• Interact with decentralized XRPL tools, including DEX interfaces, xApps, analytics dashboards, and NFT services provided by independent third parties

Katz Wallet does NOT:

• Store, hold, manage, back up, or access your private keys or secret phrase
• Control your Digital Assets or execute transactions on your behalf
• Custody assets, operate an exchange, hold user funds, or facilitate trades between users
• Recover your wallet or secret phrase if lost
• Provide investment, legal, or tax advice

You are solely responsible for securing your secret phrase, private keys, and device. "Digital Assets" means cryptocurrencies, tokens, NFTs, and other digital units supported by the App.

Your use of the App is also governed by our Privacy Policy, available at katzwallet.com/privacy, which explains what data we do and do not collect. The Privacy Policy is incorporated by reference into these Terms. If these Terms conflict with the Privacy Policy regarding privacy matters, the Privacy Policy shall prevail.

You may use the App only if:

• You are at least 18 years old, or the legal age of majority in your jurisdiction, whichever is greater.
• You have the legal capacity to enter into a binding contract.
• You are not prohibited from using the App under applicable law, including sanctions, export controls, and anti-money-laundering restrictions.
• You are not listed on any government-restricted, denied, sanctioned, or prohibited party list (including OFAC, UN, EU, or UK sanctions lists).
• You are not located in, ordinarily resident in, or a national or agent of any country or territory subject to a comprehensive embargo by the United States, European Union, or United Nations.
• You will use the App in full compliance with all applicable laws, including tax laws.

By using the App, you represent and warrant that these conditions remain true at all times.

Katz Wallet is entirely non-custodial:

• Private keys and secret phrases are generated and stored solely on your device, secured by hardware-backed storage where available.
• We do not store or have access to your keys, phrase, PIN, passcode, or wallet file.
• We cannot recover lost keys, phrases, or access to your wallet under any circumstances.

You are fully responsible for:

• Securely backing up your secret phrase offline in a safe, accessible location.
• Protecting your device with a strong PIN, password, and biometric locks, and keeping your OS updated.
• Ensuring no one gains physical or remote access to your unlocked device.
• Verifying all transaction details — including addresses, amounts, and network fees — before confirming.

If you lose your secret phrase or device, or if any unauthorized party obtains them, you may permanently and irrecoverably lose access to your Digital Assets. We cannot recover or reverse such loss.

The App may display or allow access to independent third-party tools, including:

• XRPL xApps
• Decentralized exchanges (DEX)
• AMM interfaces
• NFT marketplaces
• Analytics dashboards, block explorers, and price feeds
• Fiat on-ramp / off-ramp services
• Third-party websites opened within the App's built-in browser

Important legal notice:

• Katz Wallet does not own, operate, control, or endorse any third-party service.
• All third-party services are independent and governed by their own terms and privacy policies.
• Your interactions with third-party services are entirely at your own risk.
• We do not guarantee the accuracy, safety, legality, availability, or reliability of any third-party content.

Katz Wallet cannot:

• Cancel, modify, freeze, or reverse third-party transactions.
• Provide support, dispute resolution, or refunds for third-party services.
• Verify or validate prices, balances, yields, liquidity, analytics, or token safety.

You must independently evaluate and decide whether to use any third-party service.

When you submit a transaction through the App:

• The transaction is created and signed locally on your device using your private key.
• The App broadcasts the signed transaction to the XRPL network or other supported blockchain.
• The blockchain processes and finalizes the transaction independently of Katz Wallet.

You understand and agree that:

• Blockchain transactions are irreversible once confirmed.
• We cannot cancel or reverse transactions.
• Network congestion, delays, forks, bugs, or failures are outside our control.
• Network fees (reserves, transaction costs) are set by the network, not by Katz Wallet.
• You must ensure you send assets to the correct address and on the correct network.

Katz Wallet is not responsible for:

• Transactions sent to the wrong address or network.
• Insufficient fees or reserve requirements.
• Lost, stuck, or failed transactions.
• Any loss resulting from network behavior, protocol errors, or protocol upgrades.

Katz Wallet currently does not charge fees for basic wallet functions. However, blockchain networks may charge transaction fees or reserve requirements, and third-party services integrated into the App may charge their own fees, which we do not control.

Future changes:

We may introduce optional premium features, paid services, or revenue-sharing integrations in the future. If fees are introduced, they will be disclosed clearly within the App before any purchase or charge, and will apply only to future use — not retroactively.

You are solely responsible for all network fees, third-party fees, and any applicable taxes.

All content in the App — including analytics, price data, Smart Money insights, charts, risk signals, wallet labels, trending tokens, or any AI-generated information — is provided for informational and educational purposes only.

Katz Wallet:

• Is not a bank, broker, exchange, or registered investment advisor.
• Does not recommend or advise the purchase, sale, staking, minting, or holding of any Digital Asset.
• Does not guarantee any profits, yields, airdrops, or outcomes of any kind.

You are solely responsible for all decisions you make regarding Digital Assets.

You are solely responsible for determining what taxes apply to your Digital Asset activity, and for reporting and paying all applicable taxes to the relevant authorities. Katz Wallet does not calculate, track, or report taxes on your behalf.

You agree not to use the App to:

• Violate any applicable law or regulation.
• Engage in fraud, scams, unauthorized transactions, money laundering, or terrorist financing.
• Interfere with the App or any blockchain network.
• Distribute malware, viruses, or other harmful code.
• Attempt to access other users' wallets or data.
• Reverse engineer, decompile, or misuse the App (except as expressly permitted by law).
• Scrape or extract data from the App without written permission.

We reserve the right to restrict or terminate your access to the App at our sole discretion for violation of these Terms or any applicable law.

The App, branding, and all associated content are owned by or licensed to Katz Technologies LLC. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

You may not:

• Copy, modify, sell, sublicense, or distribute the App or any part of it.
• Reverse engineer, decompile, or extract source code (except where explicitly permitted by applicable law).
• Remove or obscure any proprietary notices or labels.
• Use the App to develop competing products or services.

Any feedback, suggestions, or ideas you submit to us may be used by Katz Technologies LLC freely and without any obligation to you.

Digital Assets and blockchain systems involve significant risks, including but not limited to:

• Extreme and unpredictable price volatility.
• Permanent and irrecoverable loss of private keys or secret phrases.
• Network failures, forks, protocol upgrades, or attacks.
• Smart contract vulnerabilities or exploits.
• Counterparty risks from third-party services integrated into the App.
• Regulatory changes, government actions, or legal restrictions in your jurisdiction.
• Liquidity risks and the potential inability to sell or exchange Digital Assets.

You use the App and any related services entirely at your own risk.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

• The App will be uninterrupted, timely, secure, or error-free.
• Blockchain data displayed will be accurate, complete, or up-to-date.
• Third-party services will function as expected or be available.
• The App is free from viruses, harmful components, or security vulnerabilities.
• The App will meet your requirements or expectations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KATZ TECHNOLOGIES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of Digital Assets, cryptocurrency, or other property.
• Loss of profits, revenue, data, or goodwill.
• Damages arising from your use of or inability to use the App.
• Damages arising from third-party services, smart contracts, DEX operations, or NFT transactions.
• Damages resulting from device failure, security breaches, or unauthorized access to your device.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED USD $100 OR THE MINIMUM AMOUNT REQUIRED BY APPLICABLE LAW, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Katz Technologies LLC and its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use or misuse of the App.
• Your violation of these Terms or any applicable law or regulation.
• Your interactions with or use of any third-party services accessible through the App.
• Any Digital Asset transactions you initiate or authorize.

We may update or modify the App or these Terms at any time. Updated Terms will be posted within the App and/or at katzwallet.com/terms, with the "Last Updated" date revised accordingly. Material changes will be communicated via an in-app notice where reasonably practicable.

Your continued use of the App following any update constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

You may stop using and uninstall the App at any time. We may suspend or terminate your access to the App at our discretion if reasonably necessary for legal, security, or policy reasons, without prior notice.

Termination does not affect:

• Your ability to access your wallet using another XRPL-compatible application, provided you have your secret phrase.
• Any provisions of these Terms that by their nature should survive termination, including Sections 4, 12, 13, 14, 15, 18, and 19.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the App, Digital Assets, transactions, or interactions with third-party services shall be subject to the exclusive jurisdiction and venue of the state or federal courts located in Delaware, United States.

Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at admin@katzwallet.com. If the dispute cannot be resolved within 30 days of your written notice, either party may proceed with formal legal action in the courts of Delaware.

Each dispute shall be resolved on an individual basis. Class action lawsuits, class-wide arbitrations, private attorney-general actions, and any other proceedings where someone acts in a representative capacity are not permitted unless required by applicable law.

If you download the App from the Apple App Store, the following additional terms apply:

• These Terms are between you and Katz Technologies LLC only, not Apple Inc. ("Apple"). Apple is not a party to these Terms and has no obligation to provide maintenance, support, or warranty for the App.
• Apple has no responsibility for addressing any claims by you or any third party relating to the App, including product liability claims, consumer protection claims, or intellectual property infringement claims.
• In the event of any App Store terms conflict with these Terms, the App Store terms shall prevail with respect to your license to use the App.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple will have the right to enforce these Terms against you.

If you download the App from Google Play, these Terms are between you and Katz Technologies LLC only. Google LLC is not a party to these Terms and bears no responsibility for the App, its content, Digital Assets, or blockchain transactions.

You must comply with all applicable third-party terms of service when using the App, including the Apple Media Services Terms and Conditions and the Google Play Terms of Service.

If you are a California resident, the California Consumer Privacy Act ("CCPA") may provide you with additional rights regarding your personal information. Because Katz Wallet is a non-custodial application that does not collect personal information in the traditional sense, the majority of CCPA rights may not apply. However, to the extent any personal information is collected (such as crash reports or support communications), you have the right to:

• Know what personal information is collected, used, shared, or sold.
• Request deletion of your personal information, subject to certain exceptions.
• Opt out of the sale of your personal information. We do not sell personal information.
• Non-discrimination for exercising any of these rights.

These Terms and the Privacy Policy constitute the entire agreement between you and Katz Technologies LLC regarding the App and supersede all prior agreements or understandings.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely, including in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to do so later.
